Jessica Barry practices out of Stinson Leonard Street LLP’s Mankato, Minnesota, office, where she focuses in the areas of corporate law, commercial real estate, and estate planning and administration. Jessica regularly provides advice to management and in-house counsel of privately held businesses, and also serves as counsel to sellers and purchasers of privately held businesses in taxable and nontaxable transactions. An acquisition may necessitate the formation of a new entity. To this end, Jessica advises clients regarding all aspects of organizing the new venture, including advice on choice of entity, the issuance of stock or other equity to founders and the execution of buy-sell, voting or other agreements among business owners. For growing and maturing businesses, Jessica provides counsel on corporate governance issues, and assists with growth and acquisition strategies and associated financing. Jessica assists clients in the negotiation and closing of real estate acquisition and sale transactions, as well as representing both landlords and tenants in leasing transactions. Additionally, Jessica actively represents regional and national lending institutions, assisting her clients in the structuring and documentation of secured lending transactions. A former law clerk with the League of Minnesota Cities, Jessica brings a broad range of municipal and regulatory knowledge to each transaction, including experience under state and local land use regulations and in project permitting before local government entities and state agencies. Through her work with privately held businesses and multi-generational families with inherited wealth, Jessica also provides counsel to her clients in the areas of wealth preservation, estate planning and administration. Recognizing that her client’s business, financial and family objectives do not operate in isolation from one another, Jessica develops and implements tax-efficient estate and succession plans consistent with each client’s independent goals.
