Jennifer assists clients with complex corporate transactions and provides comprehensive business solutions, drawing on her international business experience.

Overview

Jennifer strives to be a total solutions provider while focusing on mergers and acquisitions, offerings of equity and debt securities, and corporate and securities law matters. Jennifer represents privately-held and publicly-traded companies in a wide variety of industries, including energy, technology, health care and life sciences, real estate investment trusts, waste management, and financial services.

Prior to becoming an attorney, Jennifer assessed cross-border mergers and acquisitions and joint venture opportunities for an engineering and construction company of a South Korean conglomerate that builds oil and gas plants and other infrastructure around the world, giving Jennifer first-hand experience with business operations in South Korea. Jennifer is fluent in Korean.

Jennifer has served on transaction teams that represented:

  • Waste Management, Inc. (NYSE) in the acquisition of Petro Waste Environmental.
  • Mitsui & Co., Ltd. in the acquisition of a controlling stake in Adelnor.
  • Koch Industries, Inc. and its affiliates in various transactions.
  • Public company buyer in its acquisition of stock in healthcare predictive analytics technology company with major foreign subsidiary and operations.
  • Public company buyer in its acquisition of a leading producer, supplier, importer and bottler of beverage alcohol products.
  • Euronet Worldwide, Inc. (Nasdaq) in the Rule 144A convertible senior notes offering of $500 million and in its public senior notes offering of €600 million.
  • Oil and natural gas pipeline company in the Rule 144A senior notes offerings totaling over $1.3 billion.
  • Tax preparation company in its public senior notes offering of $650 million.
  • Bank holding company in connection with its 9-figure initial public offering.
  • Private company buyer in the acquisition of a leading computing systems provider.
  • Enhanced Capital Partners, a national investment firm specializing in investments in small and mid-size companies.
  • Privately held minerals company seller in its sale.
  • Oil and natural gas pipeline company in the formation of a joint venture to develop crude oil pipeline.
  • Venture capital firms investing in preferred equity of early-stage companies.
  • Multiple public companies regarding general compliance, registration, and reporting under the Securities Act of 1933 and the Securities Exchange Act of 1934, as well as under state securities laws.
