Kara’s knowledge of corporate structures and transactions assists her in representing businesses through the litigation process. She has experience in entity formation, mergers and acquisitions, and regulatory compliance. She has assisted in drafting and structuring organizational documents for corporations and limited liability companies across Delaware and various other states, ensuring they meet each state's requirements. She also has experience supporting the conversion of Delaware entities and assisting with the dissolution of various other companies.
With a strong background in complex transactions, she’s developed a keen eye to detail with analytical precision and a strategic approach that she applies to her clients. Her experience advising clients on high-stakes corporate matters allows her to identify key issues, navigate complex regulatory landscapes and anticipate potential disputes. Kara has performed due diligence, drafted and reviewed complex documents for multimillion to billion-dollar transactions across a variety of industries, including waste management, food and beverage, data technology, and casinos and gaming. She's also conducted research on blue sky laws, exempt securities offerings, and various Securities and Exchange Commission compliance matters.
Earlier in her career, Kara gained valuable experience working as an intern for the Honorable Nanette Laughrey in the U.S. District Court for the Western District of Missouri, where she developed practical skills in legal analysis and judicial processes.
