Overview
Zack focuses his practice on complex commercial contracting matters, mergers and acquisitions, and private securities offerings, as well as advising private and family businesses in the negotiation, formation, restructuring and succession planning of their businesses. Zack has experience in numerous industries, with a particular emphasis on the distribution, manufacturing, and renewable energy industries. Zack also assists clients in navigating the various regulatory requirements associated with foreign investment and ownership of U.S. businesses.
Zack has national level expertise in the Corporate Transparency Act (CTA), and is regularly engaged by both national and regional media, national industry organizations, and entities with complex structures to help simplify some of the CTA's most esoteric provisions. Zack helps clients evaluate their reporting exemptions, beneficial ownership, and ongoing compliance related issues to include preparation of CTA related compliance policies and associated training. Zack's CTA clients run the gamut from sole proprietorships, real estate investors, diversely-held private businesses, to complex multi-layered public-private joint venture tax credit investment platforms.
Zack is a former United States Army Military Intelligence Captain. He served as the Deputy Commander for U.S. Special Operations Forces in Northern Afghanistan from 2018 – 2019, navigating complex high-pressure situations in an ambiguous cross-cultural environment. This experience gives him a unique perspective and approach to providing high-quality legal services to clients.
Outside of his legal practice, Zack enjoys cycling, video gaming, birding and bird photography.
Experience
Zack actively contributes to legal teams assisting clients across the upper Midwest in completing the sale of their businesses, including the sale of a wealth management firm to a rising industry leader, a regional manufacturing firm to a global industry leader, and several Midwest car dealerships to other industry players.
He also has participated in assisting serial entrepreneurs both on the company side and broker/dealer side of several transactions effectuating the formation, governance, and private securities offerings of new and emerging businesses.
Zack also has an active pro bono practice. He assists on both transactional and litigation related matters and regularly helps aspiring entrepreneurs and non-profits form their businesses and satisfy associated complex regulatory requirements. He makes use of his international experience by helping those who have escaped from internationally recognized conflict areas secure asylum and citizenship in the United States. Zack also enjoys assisting low-income individuals to resolve their tax disputes with the Internal Revenue Service and the Minnesota Department of Revenue.
