Overview
Sasson has extensive experience representing both borrowers and lenders in a variety of complex loan transactions. His work involves acquisition finance, refinancing, exit financing, and debtor-in-possession financing for both earnings before interest, taxes, depreciation, and amortization and asset-based loans in the upper and middle markets.
Sasson negotiates and drafts loan documents for secured lending transactions, carefully evaluating each provision for potential risks and advising on current market terms for both domestic and cross-border credit facilities. He works to ensure clients understand complex provisions and identifies the most efficient way to achieve their goals while minimizing risks.
Sasson advises technology companies, venture capitalists, angel investors, consumer products companies and public benefit corporations on a wide range of general corporate matters. He has served as both inside and outside counsel to these clients throughout his career.
In addition, Sasson negotiates and drafts agreements related to licensing, employment, acquisitions, distribution, partnerships, operations, joint ventures, and service, marketing and consulting agreements. He also frequently counsels senior executives and boards of directors on legal strategy and risk, regulatory compliance, dispute resolution and intellectual property matters.
Experience
Counseled Las Vegas Sands Corp. in a $1 billion term loan financing for the expansion of its Macau casino resorts.
Advised Oak Hill Capital Partners in a $545 million first-lien term loan, $75 million first-lien revolver and $220 million second-lien term loan to finance the acquisition of Berlin Packaging for $1.43 billion.
Represented Cologix, Inc. in a $115 million first-lien term loan and $10 million first-lien revolver arranged by RBC Capital Markets, TD Securities (USA) LLC, and CIT Finance, LLC, and a $35 million second-lien term loan by Goldman Sachs Specialty Lending Group, L.P.
Advised General Atlantic Partners on $85 million (U.S. dollars) and $15 million (Canadian dollars) term loans, a $25 million delayed draw term loan, and a $30 million revolver to finance the acquisition of CLEAResult, Inc.
Represented Oak Hill Advisors, L.P. in a $54 million term loan and a $25 million first-out unitranche revolver to Pay-O-Matic Corp.
